PulseBoard Terms and Conditions

These Terms and Conditions govern your use of PulseBoard. How we handle personal data is described separately in the Privacy Notice.

1. Acceptance of terms

These Terms are a binding agreement between you and ThinkScaler (NeoThink Scaler Technologies Pvt. Ltd.). By creating an account, ticking the acceptance box, signing in, or otherwise using PulseBoard (the "Service"), you agree to these Terms. Personal data is handled as described in the Privacy Notice, which is a separate document: your agreement to these Terms is not consent to any use of your personal data beyond what the Privacy Notice lists. If you do not agree, do not use the Service.

2. The Service

PulseBoard is a multi-tenant team collaboration platform: task management, internal chat, notes, team administration and an optional AI assistant. It is offered on a freemium basis - a limited free trial and user cap, then a paid subscription.

3. Eligibility and accounts

3.1 You must be at least 18 and able to form a binding contract. You sign in with Google or with email and password, and you are responsible for keeping your credentials and device secure and for activity under your account.

3.2 If you create a workspace you become its Owner and are responsible for its members, roles and configuration, and for the accuracy of information you enter about other people. If you join a workspace by invitation you agree to follow the policies its Owner and Administrators set.

4. Your content

4.1 "User Content" means the data, text, files, messages, tasks, notes, images, documents and voice recordings that you or your workspace's members submit to the Service.

4.2 You keep ownership of your User Content. You give ThinkScaler a limited, non-exclusive licence to host, store, transmit, display and process your User Content, and to pass it to the service providers named in the Privacy Notice, only as needed to operate, secure and support the Service for you and your workspace (including running the AI assistant where your workspace enables it). This licence is not perpetual and does not allow us to sell your content, to use it to train AI models, or to use it for any purpose outside the Privacy Notice. It ends when your User Content is deleted, subject to the retention periods in the Privacy Notice.

4.3 You confirm you have the rights needed to submit your User Content and that it does not infringe anyone's rights or break the law.

5. Acceptable use

You agree not to: (a) use the Service unlawfully; (b) upload or send content that is defamatory, harassing, infringing or otherwise objectionable; (c) try to gain unauthorised access to any account, system or network; (d) reverse-engineer or extract the source code of the Service except as the law allows; (e) scrape or automate access without our written consent; or (f) interfere with or disrupt the Service.

6. Workspaces and roles

Workspace Owners and Administrators are responsible for the information they configure (roles, designations, manager assignments, AI assistant settings) and for making sure their own and their members' use complies with these Terms and the law, including for any data about their own employees or personnel that they enter into the Service.

7. Subscriptions and billing

7.1 New workspaces start with a free trial of limited length and user count, shown in the app at sign-up. After the trial, some features need the Owner to buy a paid subscription.

7.2 Payments are processed by Google Play Billing (Android) or Razorpay (web) and are subject to their terms. Subscription fees are billed in advance on a recurring basis and, unless the law or our published refund policy says otherwise, are non-refundable.

8. Third-party services

The Service relies on third-party services, including Google Sign-In, Google Firebase (authentication, database, storage, messaging and cloud functions), Google Vertex AI (Gemini), Resend (email), Razorpay and Google Play Billing. Your use of those integrations is also subject to the providers' terms.

9. Intellectual property

The Service - its software, design, trademarks, logos and all content that is not User Content - belongs to ThinkScaler and its licensors. Nothing in these Terms lets you use our trademarks or branding without our written consent.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the extent the law allows, including that it will be uninterrupted or error-free. Anything produced by the AI assistant is informational only and is not professional advice.

11. Limitation of liability

To the maximum extent the law allows, ThinkScaler and its officers, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill arising from your use of the Service. Our total liability for any claim is limited to the amount you (or your company) paid us in the twelve months before the claim. Nothing in these Terms limits any right you have under the Digital Personal Data Protection Act, 2023.

12. Indemnification

You agree to indemnify ThinkScaler and its officers, directors, employees and agents against claims, losses and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your breach of these Terms.

13. Termination

We may suspend or end your access for a breach of these Terms. Workspace Owners may remove members at any time. You may stop using the Service and delete your account at any time in Privacy & data. Sections 10, 11 and 12 survive termination.

14. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules.

15. Changes to these Terms

We may update these Terms and will tell you in the app about material changes. Changes to how your personal data is used are made through the Privacy Notice, with a fresh request for your consent where the law requires it.
